Director / PDMR Shareholding

Brooks Macdonald Group plc ("Brooks Macdonald" or the "Company"), the AIM-quoted integrated wealth management group, received notice on 21 March 2012 that, on the same day, Andrew Shepherd, an Executive Director of the Company, carried out the following share transfers:

·; Transfer of 3,013 ordinary shares of 1p each in the Company ("Ordinary Shares") from his private account into his Self Invested Pension Plan at a price of 1327.5 pence per Ordinary Share;

·; Transfer of 2,000 Ordinary Shares from his private account into the private account of his wife, Mrs Shepherd, at a price of 1340p; and

·; Sale of 2,000 Ordinary Shares from Mrs Shepherd's private account to Andrew Shepherd's private account at a price of 1340p

Following the above dealings, Andrew Shepherd's beneficial interest in the Company remains unchanged at 49,261 Ordinary Shares representing 0.45% of the Company's issued share capital.
