Scottish & Southern Energy PLC06 June 2006 Headline: Director Shareholding The company announces the purchase on 6 June 2006, by the Trustees of theScottish and Southern Energy Deferred Bonus Plan, of 244,426 ordinary shares of50p each in the Company at an average price of £11.455 per share. The Companyalso announces the performance-related awards to Executive Directors and PersonsDischarging Managerial Responsibility (PDMR) under the Plan. Thevalue of the award is adjusted by reference to three factors: the company'srelative performance in terms of Total Shareholder Return over a three-yearperiod; safety (which is externally verified and compared to other energycompanies) and relative performance in terms of customer complaints as recordedby the independent regulatory body, energywatch. Each Executive Director/ PDMR will only receive from the Trust the number ofshares to which they are entitled under their award.
