Directors and Persons Discharging Managerial Responsibility ("PDMRs") Interests
Imperial Tobacco Group Share Matching Scheme
Gareth Davis, Robert Dyrbus, Graham Blashill, Alison Cooper, Gary Aldridge, Fernando Dominguez, Matthew Phillips and Kathryn Turner (together "the Directors and PDMRs").
Imperial Tobacco Group PLC was today advised that, following achievement in full of the performance criterion, where applicable, the Trustee of the Company's Employee and Executive Benefit Trust (the "Trust") has transferred, on 15 February 2010, ordinary shares of 10p each in the Company to the following Directors on the vesting of matched shares under the Company's Share Matching Scheme.

Imperial Tobacco Group PLC was today further advised by the Trustee of the Company's Employee and Executive Benefit Trust that the following Directors and PDMRs transferred shares from their existing holdings in order to participate in the Company's Share Matching Scheme. The shares will be matched with free ordinary shares of 10 pence each over a three-year period up to a maximum ratio of one to one, subject to the Group achieving in excess of an average of three per cent real increase in earnings per share per annum over the three-year retention period. There will be no opportunity to retest if this performance criterion is not met.

The Trustees further advised the Company that the following PDMR purchased shares in order to participate in the Company's Share Matching Scheme.
