TalkTalk Telecom Group PLC (the "Company")

Exercise of Options / Director Dealing

On 15 November 2016 the following directors of the Company exercised certain share options as set out below:

Dido Harding, Chief Executive Officer exercised:

(i) nil priced share options over 204,918 ordinary shares of £0.01 pence each in the Company ("Ordinary Shares") and sold 96,796 Ordinary Shares at a price of £1.90 per Ordinary Share in order to satisfy the applicable tax liability; and

(ii) share options priced at £1.92 over 4,687 Ordinary Shares, all of which she continues to hold.

Following this transaction, Dido Harding remains interested in 4,410,317 Ordinary Shares being 0.46% of the Company's issued shares.

Charles Bligh, Executive Director exercised:

(i) nil priced share options over 266,393 Ordinary Shares and sold 125,835 Ordinary Shares at a price of £1.90 per Ordinary Share in order to satisfy the applicable tax liability; and

(ii) share options priced at £1.92 over 4,687 Ordinary Shares, all of which he continues to hold.

Following this transaction, Charles Bligh remains interested in 763,223 Ordinary Shares being 0.08% of the Company's issued shares.

Tristia Harrison, Executive Director exercised:

(i) nil priced share options over 245,901 Ordinary Shares and sold 116,152 Ordinary Shares at a price of £1.90 per Ordinary Share in order to satisfy the applicable tax liability; and

(ii) share options priced at £0.51 over 125,000 Ordinary Shares and sold 83,721 Ordinary Shares at a price of £1.90 per Ordinary Share in order to satisfy the applicable tax liability.

Following this transaction, Tristia Harrison remains interested in 1,453,962 Ordinary Shares being 0.15% of the Company's issued shares.

The exercise of these options has been satisfied by the use of shares held by the ESOT and no new issue of shares has been made by the Company.
