Pursuant to Disclosure and Transparency Rule 3.1.4, Interserve Plc (the"Company") announces that it was notified on 11 March 2013 by Capita Fiduciary(in its capacity as Trustee of the Interserve Employee Benefit Trust (the"Trust")), that following the exercise of options under the InterserveSharesave Scheme 2009 on 7 March 2003, the following ordinary shares of 10peach in the Company had been transferred from the Trust to certain ExecutiveDirectors/Person Discharging Managerial Responsibilities ("PDMR") or theirconnected persons on 8 March 2013.

These options were granted on 7 August 2009 at an exercise price of £1.525 pershare. The Sharesave Scheme is an all-employee HMRC-approved share scheme andthe exercise of options on maturity is not dependent upon performance criteria.

Executive Directors

1. 595 shares were acquired by Mr S L Dance and transferred into the name ofhis wife, Mrs V A Dance. Mr Dance now has an interest in 100,665 ordinaryshares of 10p each in the Company (0.08% of issued share capital).

2. 595 shares were acquired by Mr A M Ringrose. Mr Ringrose now has an interestin 295,933 ordinary shares of 10p each in the Company (0.23% of issued sharecapital).

3. 595 shares were acquired by Mr D I Sutherland and transferred into the nameof his wife, Mrs S C Sutherland. Mr Sutherland now has an interest in 52,539ordinary shares of 10p each in the Company (0.04% of issued share capital).

PDMR

1. 595 shares were acquired by Mr T Bradbury and transferred into the name ofhis wife, Mrs G S Bradbury. Mr Bradbury now has an interest in 78,332 ordinaryshares of 10p each in the Company (0.06% of issued share capital).
