The actual number of Award Shares which vest will depend onthe extent to which performance conditions have been satisfied over a five-yearperiod ending on 1 October 2019. These awards to the above named Directors havebeen made with performance conditions, set with reference to the Company'sstrategic goals. The 2012 LTIP was approved by Ordinary shareholders at theCompany's Annual General Meeting on 6 February 2012. The actual number of Award Shares which vest will depend onthe extent to which performance conditions have been satisfied over athree-year period ending on 1 October 2017. These awards have been made withperformance conditions, set with reference to the Mail Titles strategic goals.The award to Paul Dacre is made subject to the approval of the amended 2012LTIP by Ordinary shareholders at the Company's Annual General Meeting on 4February 2015. The Share price used to determine the number of Shares awarded was that atclose of business on Monday 1 December 2014 of £8.29.
