3i Group PLC21 July 2006 UK Listing Authority Disclosure RulesDR 3.1.4R As potential beneficiaries of The 3i Group Employee Trust (the "Trust") allemployees of 3i Group plc (the "Company") and its subsidiaries have an interestin all the ordinary shares of 62 69/88p each ("Shares") in the Company held bythe Trust. These employees include P E Yea, S P Ball and M J Queen, who areDirectors of the Company. On 21 July 2006, the Company was notified that on 20 July 2006 participantsexercised options under The 3i Group Discretionary Share Plan to acquire fromthe Trust 353,301 Shares at £5.68 per Share.
