Notification of Transactions by Directors/Persons Discharging Managerial Responsibility ('PDMRs')

On 8 April 2020, conditional awards over ordinary shares of £0.02 pence in Hastings Group Holdings plc (the "Company") were granted to the following PDMRs under the Hastings 2015 Long-Term Incentive Plan (the "Awards") as follows:

No consideration was paid for the grant of the Awards. The vesting of the Awards is subject to continued employment with the Company and performance conditions measuring the Company's Earnings per Share and Total Shareholder Return over a performance period of three financial years. Vested Awards will be subject to a two year hold period, in line with the Company's Remuneration Policy.

The number of shares subject to the Awards was determined by using the average mid-market closing price of the Company's ordinary shares over the five consecutive dealing days beginning with the dealing day on which the Company made a preliminary announcement of its results for the Financial Year ended 31 December 2019, which was £1.65 pence per share.

The Company's Remuneration Committee recognises that the Awards have been made during a period of market uncertainty and, under the terms of the grant, and in accordance with the Plan Rules, has reserved the option at the end of the performance period to consider whether any adjustments may be appropriate, including any downwards adjustment, to reflect any value that the Committee determines is a windfall gain; in particular, any share price growth that the Committee attributes to the effects of the global COVID-19 pandemic on the share price at the time of grant.
