On 7 August 2015, 3i Group plc (the "Company") was notified that on 3 August 2015 Alan Giddins, a person discharging managerial responsibilities, acquired for nil cost 338,971 ordinary shares of 73 19/22p each in the Company ("Shares") on the vesting of a share award.

Also on 7 August 2015, 3i Group plc (the "Company") was notified that on 3 August 2015 Menno Antal, a person discharging managerial responsibilities, acquired for nil cost 338,971 ordinary shares of 73 19/22p each in the Company ("Shares") on the vesting of a share award.

The place of the above transactions was the London Stock Exchange.
