John Wood Group PLC ("Company") NOTIFICATION OF TRANSACTIONS OF DIRECTORS, PERSONS DISCHARGING MANAGERIAL RESPONSIBILITY OR CONNECTED PERSONS In accordance with DTR 3.1.2R, on 4 October 2013 the Company was advised thatthe proceeds of dividends paid on 26 September 2013 on shares in the Companyheld on behalf of the following Directors in connection with the Company's longterm incentive plans were reinvested in shares in the Company on the LondonStock Exchange at a price of £8.14 per share. Director Shares acquired on reinvestment of dividend Allister Langlands 590 shares Bob Keiller 70 shares Alan Semple 463 shares Mark Dobler 80 shares Mike Straughen 492 shares Robin Watson 140 shares Following these transactions, the interests of those Directors in shares in theCompany are as follows: Mr Langlands holds 494,766 ordinary shares representing 0.132% of the issuedshare capital of the Company, of which 391,306 shares are held directly and103,460 restricted shares are held with a beneficial interest only. MrLanglands also holds 40,000 share options. Mr Keiller holds 1,582,321 ordinary shares representing 0.422% of the issuedshare capital of the Company, of which 1,578,060 shares are held directly and4,261 restricted shares are held with a beneficial interest only and has anon-beneficial interest in 392,423 ordinary shares representing 0.105% of theissued share capital of the Company. Mr Keiller also holds 111,572 shareoptions, all of which remain subject to performance conditions. Mr Semple holds 380,798 ordinary shares representing 0.102% of the issued sharecapital of the Company, of which 298,245 shares are held directly and 82,553restricted shares are held with a beneficial interest only. Mr Semple alsoholds 104,798 share options of which 64,798 remain subject to performanceconditions. Mr Dobler holds 14,387 ordinary shares representing 0.004% of the issued sharecapital of the Company, of which 203 shares are held directly and 14,184restricted shares are held with a beneficial interest only. Mr Dobler alsoholds 82,602 share options of which 52,602 remain subject to performanceconditions. Mr Straughen holds 163,289 ordinary shares representing 0.044% of the issuedshare capital of the Company, of which 97,549 shares are held directly and65,740 restricted shares are held with a beneficial interest only. Mr Straughenalso holds 55,852 share options all of which remain subject to performanceconditions. Mr Watson holds 25,209 ordinary shares representing 0.007% of the issued sharecapital of the Company, of which 20,238 shares are held directly and 4,971restricted shares are held with a beneficial interest only. Mr Watson alsoholds 135,852 share options of which 55,852 remain subject to performanceconditions. The Company's issued capital consists of 375,075,384 ordinary shares withvoting rights.
