Notification and public disclosure of transactions by persons discharging managerial responsibilities ("PDMRs") and persons closely associated ("PCAs") with them
Galliford Try plc (the "Company") notifies that the following transactions occurred on 16 April 2018 in connection with the acquisition of new ordinary shares of 50 pence each in the share capital of the Company as part of the Company's Rights Issue announced on 27 March 2018:

*Graham Prothero's interests in 11,697 unrestricted shares acquired under the Rights Issue and a total of 63,237 unrestricted shares held following the Rights Issue are held through Miranda Prothero, a PCA. 5,482 nil paid rights have been sold in the rump placing to provide further cash funding for the acquisition of shares under the Rights Issue. Due to a rounding error, it was incorrectly reported on 28 March 2018 and 5 April 2018 that rights to acquire 17,180 unrestricted shares had been allotted.
**Kevin Corbett's interests in 11,886 unrestricted shares acquired under the Rights Issue and a total of 47,544 unrestricted shares held following the Rights Issue are held through Sarah Harding, a PCA.
***Bill Hocking acquired 10,000 ordinary shares of 50p each on 29 March 2018. As these shares were acquired after the ex-rights date, they did not confer rights to participate in the Rights Issue.
***\* Tom Nicholson's interests in 2,442 unrestricted shares acquired under the Rights Issue and a total of 9,771 unrestricted shares held following the Rights Issue are held through Sally Nicholson, a PCA. Due to a rounding error, it was incorrectly reported on 5 April 2018 that rights to acquire 2,443 unrestricted shares had been allotted.
Shares held through the Company's Annual Bonus Plan are beneficially owned by the relevant PDMRs. The shares are subject to sale restrictions, which fall away three years after the relevant award date, and are held through the Company's Employee Share Trust, whose trustee is BWCI Trust Company Limited.
