Notification of Transactions of Directors

This notification relates to transactions which have been notified to the Company in accordance with DTR 3.1.2R.

Vested award - Guy Berruyer

On the vesting of an award under the Sage Group Deferred Bonus Plan (the Plan) on 10 January 2014, the following director of the Company became beneficially entitled to the number of ordinary shares of 1p each in the Company set out below, all of which were held in trust by Ogier Employee Benefit Trustee Limited as trustee of the Sage Group plc Employee Benefit Trust (the Trustee). The Trustee will transfer the legal title of the ordinary shares to the director (or as they may direct) in accordance with the rules of the Plan, subject to the sale of any ordinary shares in order to discharge the director's tax liability in respect of the vesting of an award.

Under the rules of the Plan, no payment was made by the director for the ordinary shares.

The Company was informed of the transaction on 10 January 2014.
