DIRECTOR/PDMR SHAREHOLDING
Kier Group plc (the "Company") announces that, on 27 November 2015, it was notified that the following allotments of ordinary shares of 1p each in the capital of the Company were made to certain of its directors and persons discharging managerial responsibilities ("PDMRs") and, where indicated below, their connected persons in connection with the scrip dividend offered in respect of the Company's final dividend for the year ended 30 June 2015:

The shares were allotted at a price of 1361.6 pence per share.
Following these transactions, the total beneficial interests in the share capital of the Company of such individuals (together with their connected persons, where relevant), and the percentage of the issued share capital of the Company represented by such interests, are:
