NOTIFICATION OF TRANSACTIONS OF DIRECTORS, PERSONS DISCHARGING MANAGERIAL RESPONSIBILITY OR CONNECTED PERSONS

In accordance with Disclosure Rule 3.1.4R(1), I hereby inform you that ITE Group plc ('the Company') was notified on 30 January 2012, in order to satisfy Disclosure Rule 3.1.2, that Marco Sodi, whose appointment as a Non-executive Director/Chairman Designate will take effect on 1 February 2012, purchased 50,000 ordinary shares in the Company on 27 January 2012 at the price of £2.11p per ordinary share.

Following this transaction Mr Sodi holds ordinary shares representing approximately 0.02 % of the Company's share capital.
