Director's Interests

1. Transfer of £1 ordinary shares

Lord Rothschild, a director of RIT Capital Partners plc ('RIT': the issuer), has today advised the Company in accordance with the UK Listing Authority Disclosure and Transparency Rules of the UK Listing Authority that his family interests in the £1 ordinary shares of RIT comprise the following:

11,515,181 shares (7.41% of issued) held beneficially.

16,680,909 shares (10.74% of issued) held non-beneficially.

This notification follows a transfer on 8 March 2013 of 585,000 shares (0.38% of shares in issue) by Lord Rothschild to a Rothschild family charity of which he is the Patron and Chairman of the Board of Trustees.

2. Grant of Share Appreciation Rights (SARs)

A grant of Share Appreciation Rights ('SARs') over £1 ordinary shares of RIT has today been made to Lord Rothschild under the terms of the J Rothschild Capital Management Share Appreciation Rights Plan, as follows:

SAR grants entitle the holder to the payment of a bonus between the third and tenth anniversaries of the relevant date of grant, calculated by reference to a notional number of RIT £1 ordinary shares. The bonus will amount to the increase since the date of grant in the RIT share price multiplied by the notional number of shares.

The above SARs awarded will be exercisable between 8 March 2016 and 7 March 2023, conditional upon the performance hurdle being achieved in the three year vesting period ending on 8 March 2016. The hurdle is calculated by reference to the RIT share price plus dividends paid, which must exceed RPI plus three percentage points per annum.
