Notification of Transactions of Directors/Persons Discharging Managerial Responsibility and Connection Persons - Sale of Fractional Shareholdings.

This notification is made in accordance with DTR 3.1.4(1)(a).

McCarthy & Stone plc (the Company) announces that it has, with consent of the relevant shareholders and the joint global co-ordinators (Deutsche Bank AG, London Branch and Goldman Sachs International) appointed in connection with admission of the entire issued share capital of the Company to the Official List of the Financial Conduct Authority and to trading on the main market for listed securities of the London Stock Exchange plc (Admission), aggregated all of the fractional shareholdings in the share capital of the Company (in aggregate fourteen ordinary shares of £0.08 each) arising as a result of the recapitalisation of the share capital of the Company immediately prior to Admission, and has sold these shares in the market, with all proceeds kept by the Company. Certain of these shareholdings belonged to the directors of the Company and persons discharging management responsibilities (PDMRs), as follows:

Following this transaction, one fractional shareholding of 0.25 of a share in the Company remains outstanding which is expected to be cancelled in due course.
