KELLER GROUP PLC NOTIFICATION OF TRANSACTIONS BY DIRECTORS, PERSONS DISCHARGING MANAGERIAL RESPONSIBILITY OR CONNECTED PERSONS Notification made in accordance with Disclosure Rule 3.1.4R (1) (a) of theDisclosure Rules and Transparency Rules. On 20 May 2015 Keller Group Plc (the "Company") granted share awards(structured as options) totalling 98,103 Ordinary Shares of 10 pence each inthe Company, as awarded by the Remuneration Committee under the terms of theKeller Group Performance Share Plan 2014, in respect of the year ended31 December 2014, to Mr Alain Michaelis, the Chief Executive director of theCompany. This award was made further to Mr Michaelis' appointment to theCompany on 14 May 2015 and is as previously disclosed in the Company'sannouncement regarding the terms of Mr Michaelis' appointment made on 23 March2015. Mr Michaelis informed the Company of his interests in these shares on 21 May2015. No consideration was paid by Mr Michaelis for the grant of the award. The Ordinary Shares will vest on the third anniversary of award subject tocontinued employment and achievement of performance targets and will normallybe exercisable for a period of six months.
