The Wolseley Group Employee Share Purchase Plan 2011 (the 'ESPP')
Following the maturity of his savings contract, ordinary shares of 10 53/66p each granted under the ESPP in April 2013 at an option price of 2,753 pence, were allotted on 22 May 2014 as follows:

These shares will be delivered in the form of American Depository Shares, each representing one-tenth of an ordinary share in the capital of Wolseley plc. Mr Roach's beneficial holding has been increased as a result of this allotment.
