Lord Rothschild, a director of RIT Capital Partners plc ('RITCP': the issuer), has today advised the Company in accordance with the UK Listing Authority Disclosure and Transparency Rule 3.1.2 that his Family interests in the £1 ordinary shares of RITCP comprise the following:

18,260,041 shares (11.87% of issued) held beneficially.

9,936,049 shares (6.46% of issued) held non-beneficially.

This notification follows a gift of shares by the director to a UK charity and a distribution of shares to a beneficiary from a trust to which the director is connected; both executed on 23 March 2011. As a result, the change in his holding of £1 ordinary shares of RIT Capital Partners plc is a decrease in his aggregate beneficial interest by 400,000 shares (0.26% of issued) and an increase in his non-beneficial interest by 364,701 shares (0.24% of issued).
