On 26 July 2013, 3i Group plc (the "Company") was notified that on 25 July 2013 Alan Giddins, a person discharging managerial responsibilities, acquired 89,535 ordinary shares of 73 19/22p each in the Company ("Shares") for nil consideration on the exercise of a deferred share award and on the same day sold these 89,535 shares at a price of 384.0p per share.

The place of this transaction was the London Stock Exchange.
