This notification relates to a transaction notified in accordance with Disclosure Rules 3.1.4R(1)(a).

On 14 May 2012, Brewin Dolphin Holdings PLC (LSE:BRW) received notification that

1. Sarah Soar, a Director, has today paid up nil paid shares totalling 9,900 ordinary shares of 1 pence each ("Ordinary Shares"), at a price of 101p each pursuant to the Company's Senior Employee Matching Purchase Scheme May 2005 grant.

Her resultant holding in Ordinary Shares in the Company is 329,825 ordinary shares representing approximately 0.1332% of the total issued share capital of the Company (of which 60,419 are nil paid ordinary shares) and the total number of shares over which options are held by her is 146,687.

2. Barry Howard, a Director, has today paid up nil paid shares totalling 49,504 ordinary shares of 1 pence each ("Ordinary Shares"), at a price of 101p each pursuant to the Company's Senior Employee Matching Purchase Scheme May 2005 grant.

His resultant holding in Ordinary Shares in the Company is 200,934 ordinary shares representing approximately 0.0811% of the total issued share capital of the Company (of which 75,730 are nil paid ordinary shares) and the total number of shares over which options are held by him is 238,734.
