Evolution Group PLC22 December 2006 THE EVOLUTION GROUP PLC (the "Company") Date: 22 December 2006 Notification of Transactions by Directors The Evolution Group PLC 2006 Performance Share Plan ("Performance Plan") The following awards of ordinary shares in the capital of the Company have beenmade to directors of the Company under the Performance Plan: Director Maximum number of award shares Alex Snow 2,000,000Graeme Dell 2,000,000Andrew Umbers 4,000,000 These awards are in satisfaction of the Company's commitment, set out in theletter from the Chairman to shareholders dated 28 April 2006 accompanying thenotice of the 2006 Annual General Meeting, to make awards of shares to executivedirectors of the Company subject to achievement of share price growth in a threeyear period commencing on 1 April 2006. One-third of the award shares will vestif the average share price over any period of 60 consecutive days from 1 April2006 to 31 March 2009 equals or exceeds £2.13 and the remaining two-thirds ofthe award shares will vest if that average share price over that samemeasurement period equals or exceeds £2.84.
