Inmarsat plc: Vesting of existing 2005 Bonus Share Plan award and 2008 share award under Bonus Share Plan
Awards over ordinary shares of €0.0005 in Inmarsat plc under the 2005 Bonus Share Plan were made to executive directors and executives who are classified as Persons Discharging Managerial Responsibility in March 2006 (following the monetary award made in May 2005) and in March 2008 (following the monetary award made in March 2007). Under the Rules of the Bonus Share Plan, the shares vest over three years.
The Bonus Share Plan is not an HM Revenue & Customs approved plan and on vesting, income tax and social security deductions become payable by the individual. The share price at which shares were sold on 13 March 2009 was 469.6254p per share.
Where shares have been retained they will be added to the existing number of ordinary shares for the relevant individual.

Award under 2008 Bonus Share Plan
Share awards over ordinary shares of €0.0005 under the 2008 Bonus Share Plan have been made to the following executive directors and executives who are classified as Persons Discharging Managerial Responsibility.
These awards are based on a monetary award approved by the Remuneration Committee of the Company in March 2008 with the number of shares to be awarded being based on the mid-point closing price of the share price on 12 March 2009 of 459p. The awards under the Bonus Share Plan were contingent upon the Company meeting specified financial targets in respect of the 2008 Financial Year, which it has done and therefore the individuals noted below have been awarded the following number of shares. These shares vest in three instalments in March 2010, March 2011 and March 2012.
