Ceres Power Holdings plc20 December 2007 Ceres Power Holdings plc (the "Company") Director / PDMR shareholding In accordance with the terms of the service agreement between Dr. Count and theCompany, 903 new Shares of 5p each have been issued to him. Dr. Count's total holding in the Company has now increased to 57,850 Shares of5p each, representing approximately 0.1% of the Company's total issued sharecapital. In respect of the Shares issued to Dr. Count, application will be made for 903new Shares to be admitted to trading on AIM and admission is expected to occuron 4 January 2008. Further to the announcement on 6 November 2007, Dr. Count will be appointed NonExecutive Chairman of the Company with effect from 1 January 2008 and from thatdate his remuneration will no longer be settled in shares.
