Warner Estate Holdings PLC01 August 2006 Warner Estate Holdings PLC ("the Company") Shareholdings of Directors and PDMRs Messrs. P C T Warner, P W Collins, R Moore and M J Stevens, Directors of theCompany, each purchased 36 Ordinary shares in the Company on 31 July 2006 at690p each under the Company's All Employee Share Ownership Plan ("the AESOP").Each Director purchased 18 of their shares as Partnership Shares and 18 shareseach were purchased by the Company as Matching Shares under the rules of theAESOP. All shares were purchased on their behalf by Capita IRG Trustees Limited,the Trustee of the AESOP. The Trustee will hold the Shares in Trust for aminimum period of five years following the date of the purchase. The sharespurchased represent less than 0.001 per cent. of the Company's issued ordinaryshare capital.
