Notification and public disclosure of transactions by persons discharging managerial responsibilities and persons closely associated with them in accordance with the Market Abuse Regulations.
On 31 March 2017 the following awards structured as nil-cost options over ordinary shares of 20 pence in Urban&Civic plc (the "Awards") were granted under the Urban&Civic plc Deferred Share Bonus Plan (the "Plan") to the following persons discharging managerial responsibilities ("PDMRs") in respect of deferred annual bonuses for the relevant year:

The Awards have been granted in respect of 50% of the bonus payable to the PDMR in the relevant year which was to be deferred into shares under the Plan. There has been a delay in the grant of the Awards due to an administrative oversight following the introduction of the Plan, which was adopted by the Board of Directors of the Company on 10 February 2016. The Awards have been granted on the terms that they would have been granted on had they been granted following the announcement of results for the years ended 30 September 2015 and 30 September 2016.
The Awards will ordinarily become exercisable on 8 December 2017 and 8 December 2018 respectively (being two years from the respective dates on which they should have been granted consistent with the Company's remuneration policy), subject to continued employment, and will remain exercisable until the 10th anniversary of the grant date.
