Notification of transactions of directors/persons discharging managerial responsibilities
The information contained in this notification is disclosed in accordance with DTR 3.1.4R(1)(a) of the Disclosure and Transparency Rules of the Financial Services Authority.
Liontrust Asset Management Plc ("the Company") was informed on 18 June 2015 of the following transactions in the Company's ordinary shares of 1p ("Shares") by Directors of the Company.
On 18 June 2015 Adrian Collins, John Ions and Vinay Abrol were granted nil-priced options over Shares, in each case, pursuant to the Liontrust Deferred Bonus and Variable Allocations Plan (the "DBVAP").
Under DBVAP a significant proportion of Executive Director bonuses and variable allocations are deferred and invested in Shares, which are subject to malus and claw back provisions, and vest over three years.
The number of nil-priced options granted by the Company to Adrian Collins, John Ions and Vinay Abrol were as follows:

The Trustee of the Liontrust Asset Management Employee Trust has notified the Company that it acquired in the market a total of 367,259 Shares on 18 June 2015 at a price of 300 pence per share. Following this transaction, the Trust held a total of 1,995,205 Shares, which represents 4.39% of total voting rights, in which the following directors had an interest as potential beneficiaries: Adrian Collins, Vinay Abrol and John Ions. The Liontrust Asset Management Employee Trust is a trust, which purchases or subscribes for Shares, so as to allow the Trustee to satisfy the exercise of options granted under various options schemes and the DBVAP. However, only purchased Shares may be used to satisfy options granted under the DBVAP.
