3i Group PLC21 July 2006 UK Listing Authority Disclosure RulesDR 3.1.4R Pursuant to the rules of The 3i Group Discretionary Share Plan and The 3i GroupDeferred Share Bonus Plan, on 20 July 2006 the following persons were awarded bythe Trustee of The 3i Group Employee Trust (the "Trust") the number of ordinaryshares of 62 69/88p each ("Shares") of 3i Group plc (the "Company") detailedagainst their name below. The consideration for all of the awards detailed above was nil. The place of thetransactions detailed above was Jersey. As potential beneficiaries of the Trust, all employees of the Company and itssubsidiaries have an interest in all the Shares in the Company held by theTrust. These employees include P E Yea, S P Ball and M J Queen, who areDirectors of the Company. As a result of the awards mentioned above, witheffect from 20 July 2006 the interests of these Directors in Shares held by theTrust were reduced by 353,702 Shares, comprising: a) 95,402 Shares as a result of Performance Share Awards under the 3i Group Discretionary Share Plan; and b) 258,300 Shares as a result of awards under the 3i Group Deferred Share Bonus Plan. Each of the Directors/PDMRs above notified the Company of the above changes intheir interests in Shares on 20 July 2006.
