Thomas Cook Group plc (the "Company") announces that on 31 March 2014, awards were made under the Thomas Cook Deferred Bonus Plan in respect of the deferred element of the annual bonus for the year ended 30 September 2013 to the following Persons Discharging Managerial Responsibilities (each, a "PDMR"):

Under the rules of the annual bonus plan, 25% of the annual bonus payable to the above PDMRs is deferred and an award of shares in respect of the deferred amount is made under the Deferred Bonus Plan. The shares awarded vest one year after the cash bonus payment date, subject to continued employment and certain clawback provisions (as described more fully in the Report on Directors' Remuneration in the 2013 Annual Report and Accounts).
As reported in our remuneration policy, approved by shareholders at the February 2014 AGM, with effect from the bonus payable in respect of the current financial year, the proportion of the annual bonus to be deferred for the executive Directors and other PDMRs will increase to one third, which will be deferred for a period of two years, subject to continued employment and clawback.
