FirstGroup plc - Notification of Directors' Interests in Shares

Mick Barker has elected to receive 20% of his fee in the form of shares in the Company. Tim O' Toole, Chief Executive, has elected to allocate part of his monthly salary to acquire shares in the Company. Arrangements have been made for these shares to be purchased on their behalf in the market on a regular basis.

Purchases took place on 24 June 2016 in accordance with standing

instructions as follows:

Director Ordinary Shares of 5 pence each

Tim O'Toole 8,467

Shares were purchased at a price of 93.4 pence per share.

The revised total beneficial holdings of the directors following these

transactions are:
