Low & Bonar PLC22 November 2006 Low & Bonar PLC Director/PDMR Shareholding In accordance with the Chairman's Service Contract with Low & Bonar PLC (the"Company"), the Company announces that 8,262 Low & Bonar PLC ordinary 25 penceshares ("Shares") were transferred to Duncan Clegg on 17 November 2006 by HillSamuel Offshore Trust Company Limited as trustee of the Low & Bonar 1995Employee's Share Ownership Plan Trust. The transfer of these shares to Mr Cleggrepresents the after-tax share element due in respect of the period 1 December2005 to 31 May 2006. Mr Clegg has agreed to retain the Shares received under his Service Contract forthe period of his Chairmanship. Mr Clegg's resultant holding is 71,523 Shares(0.047%).
