NOTIFICATION OF INTERESTS OF DIRECTORS AND PDMRs - CHANGE IN SHAREHOLDINGSFOLLOWING RIGHTS ISSUE In accordance with DTR3.1.4R, Intu Properties plc (the "Company") announces thefollowing transactions in respect of its ordinary share capital of 50 penceeach by Directors and PDMRs of the Company who took up their rights pursuant tothe Rights Issue announced by the Company on 20 March 2014. Under the Rights Issue, qualifying shareholders had the right to buy two newordinary shares of 50 pence each in the Company for every 7 existing ordinaryshares of 50 pence each in the Company held on the record date of 4 April 2014at a price of 180 pence per new ordinary share. Huntley base shareholding restated to 6,000, not 18,000 as previouslydisclosed. † The SIP Trustee sold a sufficient number of the rights in respect of sharesheld in the SIP trust on behalf of Martin Ellis and Julian Wilkinson topurchase the balance of rights attributable to them. The new shares acquired asa result of this `tail-swallow' are held in the SIP trust on the same terms asthe underlying trust shares to which the rights attached. For information, options and conditional awards of shares granted to ExecutiveDirectors and PDMRs under the Company's employee share and option schemes havebeen adjusted in accordance with the rules of such schemes to reflect theimpact of the Rights Issue.
