Schroders plc (the "Company")
The following notification made under Article 19(1) of the UK Market Abuse Regulation ("UK MAR") relates to the acquisition of ordinary shares in the Company by (i) Claire Fitzalan Howard and (ii) certain members of the Company's principal shareholder group ("PSG") to whom Claire Fitzalan Howard and Leonie Schroder are connected. This announcement is made in accordance with Article 19(3) of UK MAR.
On 13 March 2025, the Company issued 5,023,417 ordinary shares out of treasury to its Employee Benefit Trust, which will use them to satisfy awards under the Company's employee share schemes. As previously announced on 7 May 2025, as a result of the dilution resulting from that issuance the members of the PSG obtained a right pursuant to Note 11 to Rule 9.1 of the Takeover Code to purchase a number of additional ordinary shares in the Company, therefore increasing the aggregate voting rights held by the PSG without triggering an obligation to make a mandatory offer for the Company pursuant to Rule 9 of the Takeover Code.
