Nature of the transaction

On 27 October 2020, Yew Tree gave an irrevocable undertaking to subscribe for shares in the placing of the Company announced on 27 October 2020 (the "Placing"). As set out in the announcement, the Placing is subject to shareholder approval and the satisfaction of certain other conditions.

Yew Tree intends to syndicate some of the shares for which it has agreed to subscribe under the Placing to other members of the consortium of shareholders in the Company led by Yew Tree. The proposed syndication is further described in the announcement of the Placing published by the Company on 27 October 2020.
