Wood Group (John) PLC17 October 2005 RNS ANNOUNCEMENT - 17 October 2005 John Wood Group PLC ("Company") The Company was informed that on 14 October 2005, the Trustees of the John WoodGroup PLC Employee Share Trust (the "EST"): • sold 5,574 ordinary shares in the capital of the Company at a £1.87 pershare, being 0.001% of the share capital of the Company; and • transferred 54,426 ordinary shares in the capital of the Company at aconsideration, of 17 1/3 pence per share being 0.01% of the share capitalof the Company, to employees of the Company, and its subsidiaries, exercisingshare options under the John Wood Group PLC 2000 Approved Executive Share OptionScheme and the John Wood Group PLC 2000 Unapproved Executive Share Option Scheme(together "Schemes"). And further The Company was informed that on 17 October 2005, the Trustees of the John WoodGroup PLC Employee Share Trust (the "EST"): • transferred 150,000 ordinary shares in the capital of the Companyat a consideration, of 17 1/3 pence per share being 0.0291% of the sharecapital of the Company, to employees of the Company, and its subsidiaries,exercising share options under the John Wood Group PLC 2000 Approved ExecutiveShare Option Scheme and the John Wood Group PLC 2000 Unapproved Executive ShareOption Scheme (together "Schemes"). Following this transaction, the EST holds a total of 20,130,299 ordinary sharesrepresenting 3.9079% of the share capital of the Company. The class of discretionary beneficiaries for whom the EST holds such sharesconsists of employees of the Company, including the following executivedirectors of the Company: Allister G Langlands, Wendell R Brooks, Alan G Semple,Trevor M Noble and Leslie J Thomas.
