Notification of Transaction of Directors, Persons Discharging Managerial Responsibility or Connected Persons

This notification relates to a transaction notified in accordance with Disclosure Rules 3.1.4R(1)(a).

On 18 December 2012, Brewin Dolphin Holdings PLC (LSE:BRW) received notification that:

1. Sarah Soar a Director, has today paid up nil paid shares totalling 6,369 ordinary shares of 1 pence each ("Ordinary Shares"), at a price of 157.0p pursuant to the Company's Senior Employee Matching Purchase Scheme December 2005 Nil paid award grants.

Her resultant holding in Ordinary Shares in the Company is 308,536 ordinary shares representing approximately 0.1222% of the total issued share capital of the Company (of which 54,050 are nil paid ordinary shares) and the total number of shares over which options are held by her are 148,115.

2. Stephen Ford, a PDMR, has today paid up nil paid shares totalling 13,550 ordinary shares of 1 pence each ("Ordinary Shares"), at a price of 184.5p each and exercised options totalling 4,000 at a price of 168.0p each pursuant to the Company's Senior Employee Matching Purchase Scheme December 2006 and the 2004 Approved Share Option Plan December 2007 grants respectively.

His resultant holding in Ordinary Shares in the Company is 195,111 ordinary shares representing approximately 0.0773% of the total issued share capital of the Company (of which 4,597 are nil paid ordinary shares) and the total number of shares over which options are held by him is 343,874.
