Director Shareholding

SDL PLC ("the Company") was advised that Mark Lancaster, Chairman and Chief Executive, sold 317,572 ordinary shares at a price of 424.90p per share on 26 May 2010 and purchased 1,220,537 ordinary shares on 27 May 2010 at a price of 424.9568p per share.

The Company was also advised that Cristina Lancaster, Chief Operating Officer, sold 1,220,537 ordinary shares at a price of 424.90p per share on 26 May 2010 and purchased 317,572 ordinary shares on 27 May 2010 at a price of 424.9568p per share.

As a result of these transactions there has been no change to Mr and Mrs Lancaster's combined beneficial interest in the ordinary shares of the Company.
