3i Group PLC29 June 2006 UK Listing Authority Disclosure Rules DR 3.1.4R As potential beneficiaries of The 3i Group Employee Trust (the "Trust") allemployees of 3i Group plc (the "Company") and its subsidiaries have an interestin all the Ordinary Shares of 53 1/8p each ("Shares") in the Company heldby the Trust. These employees include Philip Yea, Simon Ball and Michael Queen,who are Directors of 3i Group plc. On 29 June 2006, the Company was notified that on 29 June 2006 participantsexercised options under the Company's Management Equity Investment Plan ("MEIP")to acquire from the Trust 41,843 Shares at £nil per Share.
