Notification of Transactions of Directors/Persons Discharging Managerial Responsibility
On 16 November 2016, The Go-Ahead Group plc (the "Group") granted conditional share awards under The Go-Ahead Group Long Term Incentive Plan 2015 ("LTIP") in accordance with the LTIP rules to the executive directors as follows:

Following a recent consultation with the Group's major shareholders and shareholder representative bodies, the targets of the long-term incentive award are set out below and will be measured over the a three-year performance period commencing with the start of the 2016/17 financial period and ending with the end of the 2018/19 financial period:

This LTIP award will be subject to recovery and withholding provisions for three years following vesting and an additional
two year holding period following the vesting of awards will also apply.
This notification is made in accordance with the requirement of the EU Market Abuse Regulation.
