Notification of Transaction of Directors, Persons Discharging Managerial Responsibility or Connected Persons

This notification relates to a transaction notified in accordance with Disclosure Rules 3.1.4R(1)(a).

On 7 February 2012, Brewin Dolphin Holdings PLC (LSE:BRW) received notification that Matthew Butcher, a PDMR, has today paid up nil paid shares totalling 24,038 ordinary shares of 1 pence each ("Ordinary Shares") at a price of 104p each pursuant to the Company's Senior Employee Matching Share Purchase Scheme July 2008 award.

His resultant holding in Ordinary Shares in the Company is now 66,482 ordinary shares (of which 32,275 are nil paids), representing approximately 0.0268% of the total issued share capital of the Company and the total number of shares over which options are held by him is 115,476.
