The Company announces that on 13 May 2009, performance share awards (the"Awards") were made to the following Executive Directors under the shareelement of the Charles Taylor Consulting Long Term Incentive Plan 2007 (the"Plan").Director Max number of Ordinary Shares Mr. TD Ely 51,366 Mr. GW Fitzsimons 49,977 Mr. AJ Groom 83,295 Mr. JSM Rowe 98,566 Mr. JG Roach III 90,472
These shares pertain to the 2009-2012 performance period. The number of shares set out above is the maximum number which may vest under the Awards. The actual number of shares which vest will depend on the extent to which performance conditions have been satisfied over the three-year period ending 13 May 2012. These performance conditions are consistent with the rules of the Plan. In addition, each Director will not be entitled to additional shares or cash on the value of dividends during the performance period on those shares which vest.
This notice is given in fulfilment of the obligation under DTR3.1.2R.
