PURCHASE OF SHARES BY ESOP TRUST

The company was notified on 22 April 2013 of dealings in its ordinary shares of10 pence each by the Trustee of the UBM Employee Share Ownership Trust, whichis a discretionary Trust for the benefit of employees (including executivedirectors) of the UBM group.

Date of transaction: 19 April 2013

Nature of transaction: Purchase of 375,000 shares at an average price of 686.26per share, with a minimum price of 675.94p and a maximum price of 695.70p.

The shares will be used to satisfy awards under UBM's share option andincentive plans.

Following the above transaction, the Trustee of the ESOP Trust holds a total of1,553,802 shares, representing 0.63% of the company's issued share capital.
