The Wolseley Group Employee Share Purchase Plan 2011 (the 'ESPP')
Following the maturity of his savings contract, ordinary shares of 10 53/66p each granted under the ESPP in April 2014 at an option price of 2,894 pence, were transferred out of treasury to satisfy an exercise of options on 20 May 2015 as follows:

The Company was notified of this transaction on 20 May 2015. These shares were delivered in the form of American Depository Shares, each representing one-tenth of an ordinary share in the capital of Wolseley plc. Mr Roach's beneficial holding was increased as a result of this transfer.
