Notification of Transaction of Directors, Persons Discharging Managerial Responsibility ("PDMR") or Connected Persons

Hargreaves Lansdown plc (the "Company") has received notification today from Mark Dampier, a PDMR, that on 1st November 2012, his wife Mrs A Dampier, a Connected Person, sold a total of 14,000 ordinary shares of 0.4 pence in the Company ("ordinary shares") at a price of 746p per share. The number of ordinary shares sold represented 0.0030% of the ordinary shares in issue.

Following this transaction, the beneficial shareholding of Mark Dampier (including his connected persons) is 922,262 ordinary shares representing 0.19% of the ordinary shares in issue.

Hargreaves Lansdown (Nominees) Limited is the registered shareholder as nominee for the above PDMR.
