Stagecoach Group PLC02 April 2008 Company Stagecoach Group plc TIDM SGC Headline Director/PDMR shareholding Stagecoach Group plc ("the Company") has been today, 2 April 2008, been informedof the following transactions in the Company's Ordinary Shares in connectionwith a reorganisation of the shareholdings of two directors and their connectedparties: 1. Brian Souter, Chief Executive, has today entered into an unconditional contract for the sale of 22,000,000 Ordinary Shares of 56/57th pence each in the Company to Betty Souter's 2008 Discretionary Trust. Under the terms of the contract, the sale will occur on 20 January 2010, or if earlier, at a time determined by Betty Souter's 2008 Discretionary Trust. The beneficiaries of Betty Souter's 2008 Discretionary Trust are Brian Souter and members of his family. 2. Ann Gloag, Non-Executive Director, has today entered into an unconditional contract for the sale of 11,000,000 Ordinary Shares of 56/57th pence each in the Company to Ann Gloag's 2008 Trust. Under the terms of the contract, the sale will occur on 20 January 2010, or if earlier, at a time determined by Ann Gloag's 2008 Trust. The beneficiaries of Ann Gloag's 2008 Trust are Ann Gloag and members of her family. 3. Ann Gloag has today sold 500,000 Ordinary Shares of 56/57th pence each in the Company to David McLeary's 2008 Trust. The beneficiary of David McLeary's 2008 Trust is a member of Ann Gloag's family. The above transactions do not affect the total interests of Brian Souter, AnnGloag and their connected parties in the share capital of the Company.
