("Cello" or "the Company")
Exercise of Options
The Company notifies that, on 22 September 2017, Mark Scott, Mark Bentley, Andy Brown and Stephen Highley, all of whom are persons discharging managerial responsibilities of the Company, exercised options over 330,000, 255,000, 48,000 and 150,000 ordinary shares of 10 pence each ("Shares") in the capital of the Company respectively, for an exercise price of 10 pence per Share. Andy Brown also exercised further options over 5,000 Shares for an exercise price of 50 pence.
The new Shares will rank pari-passu with existing Shares and have been admitted to trading under the Company's existing block listing.
Following the above exercise of options, Mark Scott, Mark Bentley, and Stephen Highley sold 194,700, 150,450, and 88,500 Shares respectively for a price of 126.5 pence per Share, in order to satisfy the exercise costs and taxes due on the option exercise. Andy Brown also sold 53,000 Shares for a price of 126.5 pence per Share.

Following admission, Cello's issued share capital will comprise 104,953,464 Shares, of which 453,000 Shares are held in treasury. The total number of current voting rights in the Company is therefore 104,500,464 Shares.
The above figure of 104,500,464 may be used by shareholders as the denominator for the calculation by which they will determine if they are required to notify their interest in, or a change in their interest in, the Company under the FCA's Disclosure Guidance and Transparency Rules.
