John Wood Group PLC ("Company")On 1 June 2006, the Trustees of the John Wood Group PLC Employee Share Trust(the "EST") was allotted 570,000 ordinary shares in the capital of the Companyat a subscription price of 93¢â€¦â€œ pence per share.Such shares were allotted to the EST in order to satisfy obligations arisingfrom share options granted under The John Wood Group PLC 2000 UnapprovedExecutive Share Option Scheme.Following this allotment, the EST holds a total of 19,644,304 ordinary sharesrepresenting 3.804% of the share capital of the Company.The class of discretionary beneficiaries for whom the EST holds such sharesconsists of employees of the Company, including the following executivedirectors of the Company: Allister G Langlands, Trevor M Noble, Leslie J Thomasand Mark Papworth.
