Pursuant to Disclosure and Transparency Rule 3.1.4R, Interserve Plc (the "Company") announces that, on 5 April 2016, the Company granted an Award under the Interserve Performance Share Plan 2015 (in the form of nil-cost options), to each of the following Executive Directors/Persons Discharging Managerial Responsibilities ("PDMRs"), to acquire ordinary shares of 10p each in the Company ("Shares"), up to the maximum numbers shown below:-

The Awards will normally vest on or after the third anniversary of the date of grant subject to the fulfilment of certain performance conditions based on earnings per share and total shareholder return and are subject to recovery and withholding provisions. No consideration is payable on the grant or the vesting of the Awards which must be exercised within two years of vesting. The Awards granted to the Executive Directors are subject to a two-year holding period after vesting.
