John Wood Group PLC ("Company") The Company was informed that on 24 March 2006, the Trustees of the John WoodGroup PLC Employee Share Trust (the "EST"): * sold 269,712 ordinary shares in the capital of the Company at ‚£2.523883 per share, being 0.0523% of the share capital of the Company pursuant to an exercise of share options under the John Wood Group PLC 2000 Approved Executive Share Option Scheme and the John Wood Group PLC 2000 Unapproved Executive Share Option Scheme (together "Schemes"). Following this transaction, the EST holds a total of 19,719,514 ordinary sharesrepresenting 3.826% of the share capital of the Company.The class of discretionary beneficiaries for whom the EST holds such sharesconsists of employees of the Company, including the following executivedirectors of the Company: Allister G Langlands, Wendell R Brooks, Alan GSemple, Trevor M Noble, Leslie J Thomas and Mark Papworth. Each of suchdirectors is accordingly deemed to be beneficially interested in the sharesheld by the EST.The transaction noted above does not involve any of the named executivedirectors or any persons discharging managerial responsibility.
