3i Group PLC20 July 2006 UK Listing Authority Disclosure Rules DR 3.1 On 17 July 2006, 3i Group plc ("the Company") consolidated its issued ordinaryshare capital into 466,366,373 ordinary shares of 62 69/88p each and 551,160,259B Shares were issued by the Company. As a result of the above mentioned events, with effect from 17 July 2006 S PBall, A W W Brierley, D R Collis, M J Queen, C P Rowlands, J B C Russell, A J MTaylor, P Waller and P E Yea: (i) had an interest in 9,310,167 ordinary shares of 62 69/88p each held by theTrust; and (ii) became interested in 11,002,925 B Shares held by the Trust. 3i Group plc Directors and PDMRs notified the Company of the above interests on19 July 2006.
